Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DeskynAI service ("Service") provided by Deskyn AI ("we", "us", "our", or "DeskynAI"). By signing up, subscribing, or otherwise using the Service, you ("Client" or "you") agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

1. The Service

DeskynAI provides an AI-powered receptionist and appointment-booking software-as-a-service. The Service integrates with WhatsApp, Google Calendar, and payment gateways to handle customer conversations and appointments on behalf of Client businesses.

Features, limits, and availability may change from time to time. Material changes affecting paid features will be notified in advance.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is intended for business use only, not personal or consumer use.

3. Account registration

You must provide accurate, current, and complete information during registration and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@deskynai.in of any unauthorised access.

4. Subscription, trial, and billing

• The Service may be offered on a free trial basis. Trials convert to paid subscriptions automatically unless cancelled before the trial ends, unless otherwise stated at signup.
• Subscription fees are charged in advance on the plan you select (monthly or annual).
• Payments are processed by Razorpay. By subscribing, you authorise us to charge your chosen payment method.
• Fees are non-refundable except as required by law or as explicitly stated in our Refund Policy.
• We may change subscription prices with 30 days' notice. Continued use after the change indicates acceptance.
• Failed payments may result in service suspension after a grace period.

5. Acceptable use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any laws, including but not limited to WhatsApp Business Policies, Meta Commerce Policies, and telemarketing regulations
• Send spam, phishing, or unsolicited messages through the Service
• Attempt to reverse engineer, decompile, or otherwise extract the source code of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to store or transmit malicious code, viruses, or harmful content
• Impersonate any person or entity
• Use the Service to collect personal data of individuals without a lawful basis
• Resell or sublicense the Service without our written consent
• Circumvent rate limits, usage caps, or security controls

We may suspend or terminate accounts that violate these rules without notice.

6. Your data and content

• You own your data. All business information, customer conversations, appointment records, and other content you provide or generate through the Service ("Client Data") remain your property.
• You grant us a limited licence to use, store, process, and transmit Client Data solely to provide, maintain, and improve the Service.
• You represent and warrant that you have all rights and consents necessary to submit Client Data to the Service, including consents from End Customers under applicable data protection laws.
• You are responsible for the accuracy of business information (services, prices, hours) shown to End Customers.

7. WhatsApp and third-party integrations

The Service integrates with WhatsApp Business API operated by Meta and other third-party services (Google Calendar, Razorpay, etc.). Your use of these integrations is subject to their respective terms and policies. We are not responsible for changes, outages, or policy enforcement by these third parties.

You are responsible for maintaining any accounts and approvals required with these third parties (e.g. WhatsApp Business verification).

8. Intellectual property

• The Service, including all software, models, templates, documentation, trademarks, and design, is owned by Deskyn AI and protected by intellectual property laws.
• We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your subscription term.
• Nothing in these Terms transfers ownership of our intellectual property to you.

9. AI-generated responses

• The Service uses artificial intelligence to generate responses to End Customer messages. While we strive for accuracy, AI-generated content may occasionally be incorrect, incomplete, or inappropriate.
• You acknowledge that the Service is an assistive tool and not a substitute for human judgement in critical matters.
• You are responsible for reviewing, correcting, or escalating AI-generated communications where appropriate, particularly for high-stakes situations (medical, legal, financial).
• We provide dashboard tools for you to intervene in and take over conversations at any time.

10. Service availability

We aim for high availability but do not guarantee uninterrupted, error-free access. The Service is provided on an "as is" and "as available" basis. Scheduled maintenance and unplanned outages may occur.

11. Limitation of liability

To the maximum extent permitted by law:

• Our total aggregate liability arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, shall not exceed the fees paid by you to us in the 12 months preceding the event giving rise to the claim.
• We are not liable for indirect, incidental, consequential, special, or exemplary damages, including loss of profits, revenue, data, or business opportunities.
• We are not liable for any failure or delay caused by events beyond our reasonable control, including internet outages, third-party service failures, government actions, or force majeure events.

12. Indemnification

You agree to indemnify and hold harmless Deskyn AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

• Your use of the Service in violation of these Terms
• Your Client Data, including any claim that it infringes third-party rights or violates applicable laws
• Your interactions with End Customers or third parties

13. Termination

• By you: you may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refund is provided for partial periods unless required by law.
• By us: we may suspend or terminate your account for material breach of these Terms, non-payment, or if required by law. We will provide notice where reasonably possible.
• On termination, your right to access the Service ends. We will retain Client Data as described in the Privacy Policy and may delete it after the retention period.

14. Modifications to these Terms

We may update these Terms from time to time. Material changes will be notified to you by email and by updating the Effective Date above. Continued use of the Service after changes indicates acceptance. If you do not agree to the changes, you must stop using the Service.

15. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

16. Dispute resolution

Before initiating legal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of at least 30 days.

17. Miscellaneous

• Entire agreement: these Terms, along with the Privacy Policy and any order form or subscription plan, constitute the entire agreement between you and us regarding the Service.
• Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• No waiver: our failure to enforce any right or provision does not constitute a waiver.
• Assignment: you may not assign these Terms without our written consent. We may assign these Terms to any successor entity.
